These terms govern your use of VoxRelay, operated by Humanjava Enterprises Inc. ("we", "us", "our"), a British Columbia corporation. By using VoxRelay, you agree to these terms. If you disagree with any part, you may not access the service.
1. The Service
VoxRelay is an AI-powered voice receptionist and messaging service that makes outbound calls and sends SMS messages to confirm, reschedule, or cancel appointments on behalf of your business. VoxRelay syncs with your calendar, contacts your clients by phone and text, manages waitlist recovery, and reports the results back to you.
VoxRelay is wholly owned and operated by Humanjava Enterprises Inc., a corporation registered in British Columbia, Canada. All subscription charges and financial transactions will appear on your statement as Humanjava Enterprises Inc. or HUMANJAVA. Payments are processed by Stripe. By subscribing, you also agree to Stripe's Consumer Terms.
2. Your Account
- You must provide accurate business information when signing up.
- You are responsible for maintaining the security of your account credentials.
- You must be authorized to act on behalf of the business you register.
- One account per business. Contact us for multi-location needs.
3. Your Responsibilities
- Consent: You are responsible for ensuring you have the right to contact the people in your calendar. VoxRelay calls and messages on your behalf — you are the data controller. The existing business-client relationship and appointment booking constitutes implied consent for transactional appointment communications under CASL.
- CASL compliance: You must comply with Canada's Anti-Spam Legislation (CASL) for all communications sent through VoxRelay. This includes maintaining valid consent (implied or express) for every contact. VoxRelay adds opt-out instructions to every SMS, but the legal obligation to have proper consent rests with you.
- Accuracy: You are responsible for the accuracy of your calendar data, business hours, and contact information.
- Appropriate use: VoxRelay is for legitimate appointment-based businesses only. You may not use VoxRelay for telemarketing, spam, harassment, political messaging, or any unlawful purpose.
- Opt-outs: When a client replies STOP or verbally opts out during a call, VoxRelay immediately stops contacting them. You must honor these opt-outs in your own communications as well.
4. Pricing & Billing
- Subscriptions are billed monthly or quarterly in Canadian Dollars (CAD) via Stripe.
- Each plan includes a monthly confirmed-booking quota. Pricing is per confirmed appointment — not per call or per SMS. Cancellations and reschedules-out free up quota slots.
- If you exceed your monthly quota, VoxRelay will notify you via SMS. Calls and messages continue uninterrupted — we never stop contacting your clients over a billing issue.
- Inline top-up options are available at booking time. After 2 months of consistent overage, you will be prompted to upgrade your plan.
- Prices may change with 30 days' notice. Existing subscriptions are honored until the end of their current billing period.
- You may cancel at any time. Access continues until the end of your paid period.
- Refunds are handled on a case-by-case basis. Contact us within 7 days of a charge for billing issues.
5. Service Availability
- We aim for high availability but do not guarantee 100% uptime.
- VoxRelay depends on third-party services (Twilio for calls and SMS, Google for calendar sync, RunPod for AI voice). Outages in these services may affect VoxRelay.
- Calls are made during business hours only (typically 9am — 8pm in your timezone). No calls on days you mark as closed.
- SMS messages are sent during appropriate hours based on your business schedule.
- Your published hours of operation are drawn from a single source — the business hours you configure in VoxRelay — and are made available consistently across the web confirmation page, SMS, and the voice agent. Keeping those hours current is your responsibility (see Section 3).
- We reserve the right to suspend accounts that violate these terms or exhibit abusive usage patterns.
6. AI Voice Disclosure
VoxRelay uses AI-generated voice to speak with your clients. The voice agent:
- Identifies itself as calling on behalf of your business via VoxRelay (never pretends to be human if asked directly)
- Follows conversation flows for appointment confirmation, rescheduling, cancellation, and waitlist recovery
- May ask your clients for preferences (language, SMS consent, pronunciation, channel preference) to improve future interactions
- Respects a soft exit model — calls run a maximum of approximately 2.5 minutes and never interrupt a client mid-sentence
- Does not make medical, legal, financial, or other professional recommendations
- Does not record calls unless you have explicitly enabled recording with appropriate consent
7. SMS & Messaging
VoxRelay sends SMS messages on your behalf for appointment confirmations, reminders, rescheduling, and waitlist recovery. By using VoxRelay's messaging features:
- You acknowledge that messages are sent from shared regional phone numbers, branded with your business name
- Every SMS includes opt-out instructions ("Reply STOP to opt out")
- Messages may include a link to confirm.voxrelay.app where clients can confirm, reschedule, or manage their appointments. When a personalized deep link is available, the URL directs the client to their specific booking. Otherwise, the landing page requires a confirmation code or phone number to proceed
- Standard messaging rates from your client's carrier may apply. VoxRelay does not charge clients for receiving messages
- Message frequency varies by appointment schedule — typically 1-3 messages per appointment
SMS Program Details
- Program name: VoxRelay Appointment Notifications
- Message types: Appointment confirmations, reminders, rescheduling, and waitlist recovery (clients); daily status updates and weekly summary reports (business owners)
- Message frequency: Clients receive 1–5 messages per appointment cycle. Business owners receive approximately 1 daily update plus 1 weekly summary
- To opt out: Reply STOP to any message
- For help: Reply HELP to any message
- Message and data rates may apply
- Carrier support: Messages are sent via standard SMS to US and Canadian mobile numbers

8. Data & Privacy
Your use of VoxRelay is also governed by our Privacy Policy. Key points:
- Your calendar and contacts data remains yours. VoxRelay caches it temporarily to make calls and send messages.
- Call recordings and transcripts (if enabled) are automatically deleted after 48 hours.
- SMS conversation state is discarded after 1 hour.
- We do not sell your data or your clients' data.
- OAuth tokens for calendar access are encrypted at rest with AES-GCM.
- Client preferences are stored using opaque identifiers — no names or phone numbers in VoxRelay's operational data.
- We use Plausible Analytics for cookie-free, aggregated web analytics. The data is for our internal quality assurance and platform performance only — it is NOT shared with any third-party platform, ad network, or marketing partner. See our Privacy Policy for details.
9. Intellectual Property
- VoxRelay, its software, voice agents, conversation models, and documentation are the property of Humanjava Enterprises Inc. The service is protected by copyright, trademark, and other laws of Canada.
- Your business data, calendar content, and client relationships remain yours.
- You grant us a limited license to access your calendar and contacts solely to provide the service.
10. Limitation of Liability
To the maximum extent permitted by law:
- VoxRelay is provided "as is" without warranties of any kind, express or implied.
- Dates, times & schedules: VoxRelay communicates and displays appointment dates, times, schedules, and hours of operation drawn from your connected calendar and the business hours you configure. We do not independently verify this information and are not liable for any loss, missed appointment, or damage arising from inaccurate, outdated, or incomplete dates, times, schedules, or hours. If you identify a scheduling discrepancy, we will work with you in good faith and use commercially reasonable efforts to investigate and help resolve it — but this cooperation does not create any liability, warranty, or guarantee of accuracy.
- We are not liable for missed appointments, miscommunications, or business losses resulting from AI voice calls or SMS messages.
- We are not liable for delivery failures caused by carrier filtering, number blocking, or client device issues.
- Our total liability is limited to the amount you paid for VoxRelay in the 3 months preceding the claim.
- We are not liable for actions taken by third-party services (Twilio, Google, Stripe, RunPod).
- In no event shall Humanjava Enterprises Inc., nor its directors, employees, partners, agents, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages.
11. No Business Outcome Guarantees
VoxRelay is a tool to help facilitate appointment booking and confirmations. It does not guarantee any specific business outcomes or revenue, and is not responsible or liable for your overall business performance or financial results. Any examples, illustrations, or estimates shown on our website or in our materials are for illustrative purposes only and are not a guarantee of results.
12. Termination
- You may cancel your subscription at any time from your dashboard or by contacting us.
- We may suspend or terminate accounts that violate these terms, with notice where practical.
- On termination: all outbound calls and SMS stop immediately. Your contact cache is purged within 30 days. Contact signals (containing no personally identifiable information) are retained for 12 months. OAuth tokens are revoked.
- If your subscription lapses without cancellation, your data is preserved for 90 days. After 90 days without resubscribing, account data is permanently deleted.
13. Changes to Terms
We may update these terms from time to time. For significant changes, we will notify you by email at least 14 days before the new terms take effect. Continued use after changes constitutes acceptance. If a revision is material, we will provide at least 30 days' notice.
14. Governing Law, Jurisdiction & Venue
These terms, and any dispute, claim, action, or proceeding of any kind (whether in contract, tort, statute, or otherwise) arising out of or relating to VoxRelay, the service, your account, your use of the service, or these terms, are governed exclusively by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to any conflict-of-laws principles that would apply the law of another jurisdiction.
Exclusive forum. The courts located in the City of Vancouver, in the Province of British Columbia, Canada, shall have exclusive jurisdiction over any such dispute, claim, action, or proceeding. By using VoxRelay, you irrevocably:
- submit and attorn to the personal jurisdiction of the courts of British Columbia;
- agree that any such dispute shall be brought, heard, and determined only in the courts of British Columbia, regardless of where you reside, where you access VoxRelay, where the alleged harm occurred, or where the cause of action arose;
- waive any objection to the laying of venue in British Columbia, including any objection based on forum non conveniens, inconvenient forum, or improper venue; and
- waive any right you may have to commence, join, or participate in any such dispute in any other jurisdiction, including, without limitation, any court located in the United States of America or any of its states, territories, or possessions, or in any other country.
Neither Humanjava Enterprises Inc. nor VoxRelay consents to the jurisdiction of any court outside British Columbia. Any judgment, order, or ruling obtained against Humanjava Enterprises Inc. or VoxRelay in a forum other than the courts of British Columbia shall be of no force or effect as between the parties, and the parties expressly disclaim any obligation to recognize or enforce such judgments. If a court of competent jurisdiction in British Columbia determines that any portion of this Section 14 is unenforceable, the remainder of this Section shall continue in full force and effect.
Nothing in this Section limits Humanjava Enterprises Inc.'s right to seek injunctive or equitable relief in any jurisdiction in which infringement of its intellectual property or unauthorized use of the service occurs.
15. Bilingual Versions
These terms are available in English and in French. Both versions are equally authoritative and equally enforceable. Neither version is subordinate to the other.
